General Information
This course is structured based on some of the most commonly discussed and applied issues in mergers and aquisitions. It intends to offer the students an opportunity to study the M&A process, understand different ways of valuing a target, explore how different valuation implications affect potential deal structures, and find the driving forces behind the winning M&A strategies. Meanwile, it covers various aspects of the academic research on M&A.
Topics covered include, but not limited to, overview of M&A, M&A winning strategies, M&A process, valuation, synergies, M&A mechanics and implications, M&A theory and empirical evidence, corporate governance, ownership restructuing and etc. Case examples from varous industries and countries will be prominently discussed.

Course Exemption and Advanced Standing

‘Exemption and advanced standing of up to four courses may be granted if a candidate can produce evidence, such as transcript and course syllabus, that a course is equivalent in content to another course elsewhere for which a satisfactory grade has been obtained or is holding relevant professional qualifications. Unless explicit approval is given, no credits will be given for the exempted courses or advanced standing granted. Candidates will be required to take alternative courses in lieu of the exempted courses. Please contact the MBA Programme Management Office for details upon application.’

FINA0804 Fixed income securities

An integrated analysis of the market institutions, theory and empirical evidence in the area of fixed-income markets. Topics covered: Treasury markets, bond mathematics, arbitrage-free models of the term structure, corporate-debt pricing, convertible bonds, primary mortgage markets and securitization, immunization and portfolio insurance, valuation of futures and options on bonds, embedded options, and interest rate risk management.

Prerequisite: For students admitted to 1st year of study in 2005-06 or before: BUSI0016/FINA1002 Introduction to finance and FINA0301 Derivatives securities. For students admitted to 1st year of study in 2006-07 or after: FINA1003 Corporate finance and FINA0301 Derivative securities or FINA0301 Derivatives.

Admission Requirements

To be eligible for admission to the courses for the MBA (Shanghai) program, candidates
shall hold a degree of this University or another qualification of equivalent standard from this University or from another university or comparable institution accepted for this purpose;
shall have attained a satisfactory level of performance in the Graduate Management Admission Test (GMAT), GRK or equivalent; and
shall be a manager who can provide evidence of successful business experience of at least three years.

An applicant who is seeking admission on the basis of a qualification from a university of comparable institution outside Hong Kong of which the language of teaching and/or examination is not English is required to obtain:
a score of 550 or above in the paper-based Test of English as a Foreign Language (TOEFL) or a score of 213 in the computer-base TOEFL or a score of 80 in the internet-based TOEFL. The HKU code number for TOEFL is 9671; or
a minimum overall band of 6 with no subtest lower than 5.5 in the International English Language Testing System (IELTS); or
Grade C or above in the Overseas General Certificate of Education (GCE); or
Grade C or above in the International General Certificate of Secondary Education (IGCSE); or
Grade C or above in the Cambridge Test or Proficiency in English Language.
Tuition Fees

The total programme fee for the 2008 intake is RMB110,000. The tuition fee will be paid by two instalments for part-time study in Shanghai.
